1775 TRADE NETWORK

Contractor Marketplace Agreement

Effective date: September 28, 2026

This Contractor Marketplace Agreement governs access to contractor leads and project opportunities through 1775 Trade Network. By creating a contractor account, you agree to these terms.

1. Referral marketplace only

1775 Trade Network is a referral and lead marketplace. 1775 is not the contractor, subcontractor, construction manager, employer, joint venturer, partner, agent, guarantor, surety, insurer, or representative of any contractor or customer. 1775 does not perform, supervise, direct, inspect, warrant, price, bid, negotiate, or contract for construction work unless a separate written agreement signed by the applicable parties expressly states otherwise.

Each contractor decides whether to pursue a lead, what price to quote, what contract to use, when and how to perform the work, what labor and equipment to use, and whether to hire employees or subcontractors. Contractors may use other lead sources and marketplaces and may conduct other businesses.

2. Direct customer relationship

Any estimate, bid, construction agreement, change order, payment arrangement, warranty, schedule, or dispute arising from a project is directly between the contractor and the customer. 1775 is not a party to that agreement and does not collect or guarantee project payments unless a separate written service expressly says otherwise.

3. Licensing and legal compliance

You certify that you and your company hold and will maintain every license, registration, permit, qualifying-agent status, business authorization, and trade credential required by the state, county, city, or other authority for every project you bid, negotiate, accept, or perform.

General Contractor / New Construction, Electrical, and Plumbing registrants must provide license information during enrollment. Other trades must provide applicable license information whenever required by law. A listing, match, or account approval by 1775 is not a legal determination that a license is sufficient for a particular project.

You must independently confirm project value, scope, location, license classification, monetary limits, permit requirements, and local requirements before bidding or contracting. You will not use 1775 to offer, bid, negotiate, or perform work that you are not legally authorized to perform.

You must promptly update 1775 if a license expires, is suspended, restricted, revoked, transferred, or otherwise becomes invalid.

4. Insurance and workers' compensation

You certify that your company maintains all insurance required by law and reasonably appropriate for the work you accept, including general liability and workers' compensation when required. If you claim an exemption from workers' compensation, you certify that the exemption is legally valid for you and the work performed and that you remain responsible for all employees, subcontractors, and other persons for whom coverage is required.

1775 may request certificates of insurance, exemption documentation, license documentation, carrier confirmation, or other proof at any time. Failure to provide requested proof may result in suspension or termination of lead access.

5. Independent business status

You operate an independently established business and are solely responsible for your employees and subcontractors, payroll, taxes, withholding, unemployment obligations, workers' compensation, benefits, equipment, vehicles, tools, permits, safety programs, means and methods, scheduling, supervision, workmanship, and legal compliance.

1775 does not prescribe your work hours, require exclusivity, prohibit use of other platforms, require specific tools or supplies, or provide on-site supervision of your work.

6. 30-day introductory period and complimentary leads

New contractor accounts receive a 30-day introductory access period and 10 complimentary lead credits. A lead credit unlocks available contact information for one project opportunity. A lead is an opportunity only; it is not a guaranteed customer, bid, award, contract, revenue, payment, or minimum amount of work.

No contractor will be automatically charged merely because the introductory period ends. Any future paid plan, renewal, subscription, or lead purchase must be separately disclosed and authorized before a charge is made. Complimentary credits have no cash value and may be revoked for fraud, abuse, duplicate accounts, licensing or insurance issues, or violation of these terms.

7. Lead information and AI-assisted matching

1775 may use automated and AI-assisted systems to classify projects, match trades, route opportunities, identify duplicates or suspicious activity, and support administration of the marketplace. Automated matching may be incomplete or incorrect. You must independently verify all project information before relying on it.

Project details are supplied by customers or public sources and may contain errors or change without notice. 1775 does not guarantee the accuracy, completeness, legitimacy, budget, schedule, bid deadline, ownership, financing, or availability of any project.

8. Contractor conduct

You will provide truthful account information, use customer information only for legitimate project-related purposes, comply with privacy and communications laws, avoid harassment or deceptive practices, and refrain from reselling, publishing, scraping, or redistributing lead information except as needed to pursue the project.

9. Verification and platform discretion

1775 may verify or attempt to verify license, insurance, business, identity, or other information, but is not obligated to independently verify every submission. Display of a contractor in the network does not constitute an endorsement, certification, guarantee, or warranty. 1775 may suspend, restrict, or terminate access for suspected fraud, legal noncompliance, expired credentials, customer safety concerns, abuse, charge disputes, or violations of these terms.

10. No warranties; limitation of responsibility

The marketplace and leads are provided on an "as available" basis. To the fullest extent permitted by law, 1775 disclaims warranties regarding lead quality, customer behavior, contractor performance, project outcome, or economic results. Each contractor assumes the risks and responsibilities of evaluating and performing any project it chooses to pursue.

11. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless 1775 Trade Network, Sentry Development Group Inc., and their owners, officers, employees, and service providers from claims, losses, damages, penalties, fines, costs, and reasonable legal fees arising from your bids, contracts, work, workers, subcontractors, licensing, insurance, taxes, safety, property damage, bodily injury, privacy violations, or breach of this Agreement.

12. Tennessee law

Unless another law must apply, this Agreement is governed by Tennessee law. Nothing in these terms waives rights or obligations that cannot legally be waived.

13. Changes and records

1775 may update these terms prospectively. Material changes will be presented for acceptance when required. Electronic acceptance, timestamp, account identity, and the version accepted may be retained as business records.

14. Contractor responsibility

You are responsible for obtaining your own legal, tax, licensing, and insurance advice. These marketplace terms do not replace project-specific legal requirements or a contractor's own customer agreement.
