1775 TRADE NETWORK

Client Marketplace Agreement

Effective date: September 28, 2026

This agreement governs project submissions by homeowners, businesses, property managers, developers, public entities, and other project owners or representatives using 1775 Trade Network.

1. Referral and lead service only

1775 Trade Network is a referral and lead marketplace. 1775 does not perform, supervise, direct, inspect, design, engineer, price, bid, warrant, guarantee, or contract for construction or service work unless a separate written agreement signed by the applicable parties expressly says otherwise.

1775 is not the contractor, subcontractor, construction manager, architect, engineer, employer, partner, joint venturer, agent, guarantor, surety, insurer, or representative of any contractor or client.

2. Client chooses the contractor

You are solely responsible for deciding whether to contact, interview, verify, hire, or contract with any contractor or service provider. Any estimate, bid, contract, payment, deposit, warranty, schedule, permit, change order, workmanship issue, lien issue, injury, property damage, delay, or dispute is between you and the contractor you choose.

3. No guarantee of contractor qualifications or project outcome

1775 may collect or display license, insurance, business, trade, service-area, or other contractor information and may perform or assist with verification. However, 1775 does not guarantee that any contractor is licensed, insured, qualified, available, financially responsible, suitable for your project, or compliant with every requirement that applies to your location and scope.

You should independently verify contractor licensing, insurance, references, permits, contract terms, pricing, and other qualifications before hiring or paying anyone.

4. No guarantee of leads, bids, prices, schedules, or performance

Posting a project does not guarantee that any contractor will respond, bid, accept the work, meet your budget, meet your schedule, obtain permits, complete the project, or perform to your expectations.

5. Project information and consent to referral

You agree to provide information that is accurate to the best of your knowledge. You authorize 1775 to record, store, review, classify, route, and share relevant project information with contractors or service providers for the purpose of responding to your project.

You are responsible for having authority to submit any property, company, contact, plan, photo, document, or project information you provide.

6. AI-assisted routing

1775 may use automated and AI-assisted systems to classify projects, match trades, identify duplicates or suspicious activity, prioritize routing, and support marketplace administration. Automated results can be incomplete or incorrect and are not a substitute for your own evaluation of a contractor or project requirement.

7. Independent contractor relationships

Contractors and service providers using 1775 are independent businesses. They control their own pricing, estimates, schedules, employees, subcontractors, tools, means and methods, safety practices, contracts, taxes, insurance, and performance.

8. Payments and contracts

Unless a separate written 1775 service expressly provides otherwise, 1775 is not a party to your construction or service contract, does not hold project funds, does not guarantee payment or refunds, and is not responsible for deposits or payments you make to a contractor.

9. Liability allocation

To the fullest extent permitted by law, 1775 Trade Network, Sentry Development Group Inc., and their owners, officers, employees, and service providers are not responsible for the acts, omissions, representations, negligence, licensing, insurance, pricing, contracts, safety practices, workmanship, delays, defaults, injuries, property damage, liens, payments, warranties, or disputes of independent contractors or clients.

Nothing in this agreement excludes liability that cannot legally be excluded or limited.

10. Client responsibility and indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless 1775 Trade Network, Sentry Development Group Inc., and their owners, officers, employees, and service providers from third-party claims, losses, damages, penalties, costs, and reasonable legal fees arising from information or materials you submit, your lack of authority to submit them, your separate contract with a contractor, or your violation of this agreement, except to the extent caused by liability that cannot legally be shifted.

11. No endorsement

A contractor appearing in the network, receiving a lead, or having information displayed by 1775 does not constitute an endorsement, certification, warranty, or guarantee by 1775.

12. Privacy

Your information is handled under the 1775 Privacy Notice. By submitting a project, you authorize the project information needed for referral and marketplace operation to be shared with appropriate contractors or service providers.

13. Electronic records and signature

When you type your legal name, accept the required agreements, and submit the project form, you agree that your electronic action and typed name constitute your electronic signature and acceptance of the agreement version presented to you. 1775 may retain the agreement version, acceptance timestamp, account or submission information, and related audit records.

14. Tennessee law

Unless another law must apply, this agreement is governed by Tennessee law. Nothing in these terms waives rights or obligations that cannot legally be waived.

15. Changes and questions

1775 may update these terms prospectively. Material changes will be presented for acceptance when required. Questions about a project submission may be directed through the contact information provided by 1775 Trade Network or Sentry Development Group Inc.
